Hosting Terms of Service

These terms govern the recurring managed hosting subscription billed through the customer portal. Effective July 18, 2026. They work alongside — and don't replace — your signed Client Services Agreement, which controls if the two conflict.

1. What's covered

This subscription covers hosting, running costs, uptime and performance monitoring, daily database backups, and standard support for the site built for you, billed monthly at the rate shown in your portal. It doesn't cover the one-time build fee (billed separately, in two milestones — a deposit to start work and a final payment when the build is ready) or work outside your agreed scope, which is billed hourly.

2. Billing

The monthly fee is billed in advance and charged automatically to the payment method on file. If a charge fails, we'll retry it automatically; you can also update your payment method or pay an open invoice directly from the portal.

If an invoice stays unpaid more than 10 days past due, we may suspend the site (take it offline) after written notice, until the balance is paid. Reasonable reinstatement work after a suspension may be billed hourly. Fees already paid are non-refundable except as required by law.

3. Uptime & monitoring

We monitor uptime and performance and respond to alerts, but we don't guarantee a specific uptime percentage and don't provide service credits or other financial remedy for downtime, unless a separate written SLA is agreed in your Statement of Work.

4. Backups

The subscription includes daily database backups with 30-day retention. We'll use reasonable efforts to restore data promptly on request, but don't guarantee a specific recovery time. Backups aren't a substitute for keeping your own copies of anything critical.

5. Support

Standard support response time is one business day; for an outage on a live site, we aim to respond the same business day. Support covers running the site as built — new features, redesigns, or other out-of-scope work are estimated and billed separately before we start.

6. Third-party dependencies

Hosting relies on third-party providers — currently Microsoft Azure, Stripe, and Azure Communication Services for email. We're not responsible for their availability, pricing changes, or actions, and we'll work around outages on our end in good faith but can't guarantee a fix timeline for issues on theirs.

7. Cancellation

You can cancel anytime from the portal or by contacting us. Canceling stops future billing but doesn't immediately take the site down — see your Client Services Agreement for the decommissioning process (export, DNS cutover, and resource deletion on an agreed date). The current billing period is non-refundable; the subscription simply doesn't renew.

8. Liability

To the maximum extent permitted by law, our total liability for this subscription is limited to the fees you paid in the 3 months before a claim. We're not liable for indirect, incidental, or consequential damages — lost revenue, lost profits, or data loss beyond the backup policy above — including where the cause is a third-party service listed in Section 6.

9. Changes

We may update these terms; material changes will be posted here with a new effective date. Continuing the subscription after a change means you accept the update.
